NiceCite (the "Service") is provided by Cerious Productions ("we", "us", "our"). By creating an account or using the Service, you ("you", "user") enter into a binding agreement with Cerious Productions on these Terms.

By accessing, registering for, or continuing to use the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

You must be at least the age of legal majority in your jurisdiction. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it up to date.

NiceCite analyses publicly accessible web pages and produces reports, scores, recommendations, and optional generated assets (such as schema, FAQs, copy, and briefs) intended to help your site be understood by answer engines. We do not — and cannot — guarantee that you will be cited by ChatGPT, Perplexity, Gemini, Claude, Google AI Overviews, or any other system. Outputs may be inaccurate or incomplete; you are responsible for reviewing them before use.

You agree not to (a) use the Service unlawfully or in violation of these Terms; (b) infringe intellectual property or privacy rights; (c) submit malware, spam, or fraudulent data; (d) probe, scan, scrape, reverse-engineer, or interfere with the security or integrity of the Service; (e) resell or sublicense the Service without our written permission; or (f) generate content that is illegal, defamatory, harassing, hateful, deceptive, or that infringes third-party rights. You must have the right to submit any URLs, content, or prompts you provide.

The Service, including its software, documentation, design, and branding, is owned by Cerious Productions and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within your selected plan. As between you and us, you retain rights in the content you submit; you grant us a limited licence to host, process, and display that content solely to provide the Service.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, subscription renewals, cancellations, and refund mechanics are governed by Paddle's Buyer Terms. Refunds are handled per our Refund Policy. Subscriptions renew automatically until cancelled. You can cancel a subscription at any time via paddle.net or by contacting us.

We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. We may add, change, or remove features at any time. We will use reasonable efforts to notify you of material changes.

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Reports and generated assets are informational only and are not legal, financial, SEO, or professional advice.

To the fullest extent permitted by law, in no event will Cerious Productions be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or loss of goodwill. Our aggregate liability under these Terms is limited to the fees you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is not permitted by law.

You will indemnify and hold harmless Cerious Productions from any third-party claim arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

We may suspend or terminate your access (a) for material breach of these Terms, (b) for non-payment, (c) where required by law, or (d) where we reasonably believe your account poses a security, legal, or fraud risk. You may stop using the Service and cancel at any time. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

These Terms are governed by the laws applicable to Cerious Productions' principal place of business, without regard to conflict-of-laws rules. Disputes will be brought in the competent courts of that jurisdiction, unless mandatory consumer-protection laws of your country provide otherwise.

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

We are not liable for delays or failures caused by events beyond our reasonable control.

We may update these Terms from time to time. Material changes will be highlighted in-product or by email. Continued use of the Service after changes take effect constitutes acceptance.
